Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year. 
 
On May 23, 2007, the Board of Trustees of Hersha Hospitality Trust (“Hersha”) approved Articles of Amendment to the Articles of Amendment and Restatement of the Declaration of Trust of Hersha (the “Charter”). The amendment to the Charter amends and restates Section 1 of Article VI of the Charter in its entirety to reclassify 49,000,000 shares of its previously classified but unissued Class B Common Shares of Beneficial Interest into 30,000,000 Priority Class A Common Shares of Beneficial Interest, par value $0.01 per share and 19,000,000 preferred shares of beneficial interest, par value $0.01 per share. A copy of Hersha’s Articles of Amendment to the Charter in the form filed with the Maryland State Department of Assessments and Taxation and declared effective on May 24, 2007 is attached as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
