Scailex Corporation Ltd. (the "Company") filed today an immediate report with the Israeli Securities Authority ("ISA") and the Tel Aviv Stock Exchange ("TASE").

In the report, the Company gave notice that XMPie Inc., a private company incorporated in the State of Delaware in the United States, in which the Company has a minority holding, has notified it that Xerox Corporation has entered into an agreement to acquire XMPie Inc. in consideration of 54 million dollars (the “Consideration Amount”). The closing of the transaction is subject to the fulfillment of a number of conditions and to receipt of the appropriate regulatory approvals. The Company expects to receive approximately 1.5 million dollars out of the Consideration Amount, most of it upon the closing of the transaction.
