Item 1.01                      Entry Into a Material Definitive Agreement

On August 2, 2013, the Registrant agreed to sell an additional tranche of specimen gold from the Ruby Mine to a private US investor (the “Investor”) pursuant to the prepaid gold facility (the “Agreement”) previously disclosed in the Company's Current Report on Form 8-K filed with the Securities and Exchange Commission on June 5, 2013.

The Registrant has received an additional cash advance of $50,000 (the “Advance”) for delivery of forty (40) ounces of specimen gold produced from the Ruby Mine on or before April 2, 2014 (the “Due Date”).  The Advance paid will be applied to the amount due to the Registrant on the Delivery Date, as determined by the then-current spot price of gold discounted by 10% on the Delivery Date.  In the event that 40 ounces of specimen gold is not available for delivery by the Due Date, the Investor will be entitled to be repaid the Advance in cash plus 10% interest, with an option to still purchase the same amount of gold at a discount of 10% to the then-current spot price of gold when the specimen gold becomes available for delivery at a later date.

The Registrant has agreed to make an aggregate of up to 2,120 ounces of specimen gold available for advance purchase under this Agreement.  The Registrant notes that this Agreement pertains to specimen gold only.  Any and all fine gold and other coarse gold not considered specimen gold may be sold by the Registrant for its own account without regard to this Agreement.

As of the date of this report, an aggregate of 160 ounces of specimen gold has been presold through this facility, and a total of $200,000 cash has been received.
