Entry into a Material Definitive Agreement |
On April 20, 2005, the Compensation and Management Development Committee of the Board of Directors of ArvinMeritor, Inc. approved an amendment to the company’s 1997 Long-Term Incentives Plan (“LTIP”). The amendment revises Section 2(z) of the LTIP to provide that the period during which a grant of restricted share units are subject to forfeiture cannot be less than three years.
