Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 5, 2009, Kenneth D. Darling, Vice President and Chief Lending Officer of the registrant’s subsidiary, Bank of Internet USA, tendered his resignation effective January 16, 2009. Gary Lewis Evans, President of Bank of Internet USA, will assume Mr. Darling’s responsibilities after January 16, 2009.
