Q: What is the status of the waiting period under the Hart-Scott-Rodino Act for the proposed merger transaction with Novellus Systems, Inc.?


A: We received notification on February 3, 2012 that early termination of the waiting period under the Hart-Scott-Rodino Act for the merger was granted by the Federal Trade Commission. Completion of the merger remains subject to the other conditions in the merger agreement dated December 14, 2011 among Lam Research Corporation, BLMS Inc., and Novellus Systems, Inc., including without limitation approval by the shareholders of each company and clearance by other regulatory agencies, all as described in our recent filing on Form S-4 with the Securities and Exchange Commission.
