As Sohmen Family Foundation beneficially owns 93.25% of the common stock of Bergesen Worldwide Limited, Sohmen Family Foundation may therefore be deemed to beneficially own the Common Stock directly owned by Bergesen Worldwide Limited. The filing of this Form 3, however, should not be construed as an admission that Sohmen Family Foundation is the beneficial owner of any of the Common Stock directly owned by Bergesen Worldwide Limited.
