(1) Includes 328,125 shares of JIVE common stock that are represented by restricted stock units ("RSUs"). 21,875 of the RSUs subject to the total grant of 350,000 RSUs vested on February 16, 2015, and 1/16th of the total RSU grant will vest on or around the 16th of each of May, August, November and February thereafter, subject to the Reporting Person's continued service through each vesting date.
(2) 4,166 shares subject to this option are vested as of the date hereof. The remaining shares subject to this option will vest in equal monthly installments on the monthly anniversary of February 19, 2015 over the next 46 months, subject to the Reporting Person's continued service through each vesting date.
