For a description of the Registrant's class A non-voting common stock, par value $0.01 per share, and class B voting common stock, par value $0.01 per share (collectively, the "Common Stock"), to be registered hereunder, reference is made to the information under the heading, “Description of Citadel Capital Stock,” in the Registrant's Registration Statement on Form S-4 (Registration No. 333-68364) filed with the Securities and Exchange Commission on August 24, 2001, as amended on November 16, 2001, December 6, 2001, and December 11, 2001, including any report filed for the purpose of updating such description, which information is incorporated herein by reference and made part of this registration statement in its entirety.
