Item 8.01
Other Events.

On September 13, 2018, Park National Corporation, an Ohio corporation (the “Company” or “Park”), and CAB Financial Corporation, a South Carolina corporation (“CABF”), issued a joint press release announcing the execution of an Agreement and Plan of Merger and Reorganization, dated as of September 12, 2018, by and among the Company and CABF, pursuant to which CABF will merge with and into the Company, subject to the terms and conditions set forth therein (the “Parent Merger”). Following the Parent Merger, Carolina Alliance Bank, the wholly owned bank subsidiary of CABF, will merge with and into Park’s bank subsidiary, The Park National Bank, with The Park National Bank surviving (the “Bank Merger” and, together with the Parent Merger, the “Merger”). The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
 
On September 13, 2018, the Company also released a slide presentation regarding the Merger which management of the Company intends to make available to investors. The slide presentation is attached hereto as Exhibit 99.2 and incorporated herein by reference.
