Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
   
As previously reported, Paul W. Jones was elected to the Board of Directors (the “Board”) of Integrys Energy Group, Inc. (the “Company”) effective December 15, 2011.  As a result, effective December 15, 2011, the Board approved an amendment to the Company’s By-laws to increase the size of the Board from 12 to 13 directors.
