Item 8.01 Other Events
On November 6, 2009, General Maritime Corporation (the “Company”) announced the pricing of its previously announced offering of $300 million aggregate principal amount of senior notes due 2017 (the “Notes”) to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and in offshore transactions to non-United States persons in reliance on Regulation S under the Securities Act. The offering is expected to close on November 12, 2009, subject to satisfaction of customary closing conditions.
The Notes will have an interest rate of 12% per annum and are being issued at a price equal to 97.512% of their face value. The Notes will be senior unsecured obligations of the Company.
The Company estimates that the net proceeds from the offering will be approximately $285 million after deducting initial purchasers’ discounts and commissions and estimated offering expenses payable by the Company. The Company expects to use the net proceeds of this offering to repay outstanding borrowings under its bank credit facilities and for other general corporate purposes.
