The financial statements of the Partnership included on Form 10-K do not reflect the contribution of Cypress Energy Partners, LLC (the “Partnership’s predecessor”) or the contribution of 50.1% of Tulsa Inspection Resources, LLC, Tulsa Inspection Resources – NDE, LLC, Tulsa Inspection Resources – Canada ULC and Foley Inspection Services ULC (the “TIR Entities”), both of which occurred on January 21, 2014. The financial statements of the Partnership do reflect certain costs associated with the $120 million secured credit facility with Deutsche Bank and BMO Harris Bank acting as arrangers executed on December 24, 2013, as well as certain costs associated with the IPO which closed on January 21, 2014.

The Partnership’s predecessor financial statements and the TIR Entities financial statements are also included on this Form 10-K. Certain operations reflected in the financial statements of the Partnership’s predecessor were not contributed to the Partnership at IPO on January 21, 2014, including the operations of a SWD facility in Sheridan, MT and a SWD permit in Prairie Lakes, ND.
