Envision Healthcare Announces Pricing of $750 Million Senior Notes Offering

Envision Healthcare Corporation (the “Company”), the indirect wholly owned subsidiary of Envision Healthcare Holdings, Inc. (NYSE: EVHC), announced the pricing of $750,000,000 aggregate principal amount of 5.125% Senior Notes due 2022 (the “Notes”). The offering was upsized from $650,000,000. The Notes are being offered and sold in transactions exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). The Company intends to use the net proceeds from the offering to redeem all of its outstanding 8.125% Senior Notes due 2019 totaling $617.5 million in aggregate principal amount in accordance with the terms of the Company’s previously announced notice of conditional full redemption, and to pay related fees and expenses. The redemption date is expected to be June 18, 2014. The Company intends to use net proceeds remaining from the offering for general corporate purposes, which may include the funding of acquisitions.

The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
