Envision Healthcare Announces Second Quarter Adjusted EBITDA of $134.2 Million, up 26.6%, and Increases Guidance

Envision Healthcare Holdings, Inc. (NYSE:EVHC) (EVHC or Company) announces results for the second quarter ended June 30, 2014. All comparisons included in this release are for second quarter 2014 to second quarter 2013 unless otherwise noted.

Second Quarter 2014 Highlights:

  • Net revenue was $1.08 billion, an increase of 19.6%;
  • Adjusted EBITDA was $134.2 million, an increase of 26.6%;
  • Adjusted EPS was $0.28 and GAAP diluted EPS was ($0.01); and
  • The Company is increasing full year guidance for Adjusted EBITDA to $553-$558 million and Adjusted EPS to $1.15-$1.20.

William A. Sanger, president and chief executive officer, said, “Our integrated service offerings across our business segments continue to differentiate us in the market as evidenced by our strong revenue and EBITDA growth. Approximately 60% of our revenue growth was driven by net new contract wins, 25% from same store and 15% from acquisitions. EmCare’s net new contract wins continued at a record pace and contributed 15.4% to its overall revenue growth of 21.2%. AMR delivered its strongest performance in many years, with 16.7% revenue and 33.1% EBITDA growth.

“With respect to healthcare reform, we have seen a meaningful shift from self-pay into both Medicaid and healthcare exchange programs. We anticipate this positive trend to continue, resulting in additional volume and improved rates.

Results of Operations for the Second Quarter 2014

For the second quarter of 2014, EVHC generated net revenue of $1.08 billion, an increase of 19.6%.

Adjusted EBITDA was $134.2 million, an increase of 26.6%. This was primarily attributable to the impact of net new contract wins, improved volumes, a favorable shift in payor mix, effective expense control and acquisitions.

EVHC generated a net loss of $2.0 million, compared to net income of $9.6 million. The reduction in net income is primarily due to a $66.4 million pre-tax charge related to the early debt extinguishment of the 8.125% Senior Notes due 2019 (2019 Notes) in June of 2014, offset by the decrease in interest expense from debt retirements in 2013.

Segment Results for the Second Quarter 2014

EVHC operates two business segments: EmCare Holdings, Inc. (EmCare), the Company’s facility-based and post-acute care physician services segment and American Medical Response, Inc. (AMR), the Company’s healthcare transportation services segment.

EmCare

EmCare generated net revenue of $690.0 million, an increase of 21.2%, or $120.9 million. Organic growth was 20.3%, driven by an increase of 15.4% from net new contracts and an increase of 4.9% from same store contracts. Acquisition growth was 0.9%.

On a same store basis, volumes were higher in the quarter by 5.3%, partially driven by additional volumes in both Medicaid expansion and non-expansion states. Same contract revenue per encounter increased by 0.2%. This was primarily driven by emergency department volume increases of 4.2% and emergency department rate increases of 2.9%. Same store revenue from other service lines increased 1.2%.

Adjusted EBITDA was $87.1 million, an increase of 23.4%, or $16.5 million. The increase in Adjusted EBITDA was primarily driven by revenue increases from net new contract wins and same store revenue growth. Income from operations was $68.8 million, an increase of 29.4%, or $15.6 million.

American Medical Response

AMR generated net revenue of $385.3 million, an increase of 16.7%, or $55.2 million. Organic growth increased 9.6%, driven by 5.0% related to net new contract wins and 4.6% in existing markets. The 4.6% in existing markets included a 3.6% volume increase, primarily driven by additional volumes in both Medicaid expansion and non-expansion states, and a 1.0% revenue increase per weighted transport. Acquisitions contributed 7.1% to revenue growth.

Adjusted EBITDA was $47.1 million, an increase of 33.1%, or $11.7 million. The increase was attributable to revenue increases and operating efficiencies as a result of cost improvement initiatives. Income from operations was $24.3 million, an increase of 94.0%, or $11.8 million.

Cash Flows for the Second Quarter 2014

Cash provided by operating activities was $63.7 million, compared to cash used in operating activities of $12.7 million. This improvement was driven by an increase in net income and cash collections and a decrease in cash interest payments in 2014 and non-recurring cash outflows that occurred in 2013. EmCare Days Sales Outstanding (DSO) decreased by three days in the quarter and AMR DSO remained unchanged.

Net cash used in investing activities was $184.6 million, compared to $23.0 million. The increase in cash used for investing was primarily driven by acquisitions in the quarter of $163.5 million.

Net cash provided by financing activities was $92.5 million, compared to net cash used in financing activities of $7.4 million. The net impact in the quarter was primarily due to the issuance of $750 million in 5.125% Senior Notes due 2022 and the redemption of the 2019 Notes (Bond Refinancing). At June 30, 2014, there were no amounts outstanding under the ABL Facility.

Adjusted Free Cash Flow was $43.5 million, compared to cash outflow of $18.8 million.

Results of Operations for the Six Months ended June 30, 2014

EVHC net revenue was $2.09 billion, an increase of 16.9%.

Adjusted EBITDA was $244.2 million, an increase of 18.0%. This increase was primarily attributable to the impact of increased revenue from net new contracts and existing contracts, effective expense controls, healthcare reform and acquisitions.

EVHC generated net income of $22.8 million, compared to $5.8 million. The increase in net income was primarily attributable to an increase in income from operations and the net impact of debt retirements in 2014 and 2013.

Segment Results for the Six Months ended June 30, 2014

EmCare’s net revenue was $1.33 billion, an increase of 18.7%. Adjusted EBITDA was $158.5 million, an increase of 15.9%. Income from operations was $120.1 million, an increase of 18.8%.

AMR’s net revenue was $755.0 million, an increase of 13.8%. Adjusted EBITDA was $85.7 million, an increase of 22.1%. Income from operations was $41.4 million, an increase of 50.2%.

Cash Flows for the Six Months Ended June 30, 2014

Cash provided by operating activities was $93.9 million, compared to cash used in operating activities of $6.1 million. The change was primarily driven by improvements in net income and cash collections and a decrease in cash interest payments in 2014 and non-recurring cash outflows that occurred in 2013. DSO decreased two days from December 31, 2013, with EmCare’s DSO decreasing by three days and AMR’s DSO decreasing by one day.

Net cash used in investing activities was $224.6 million, compared to $27.7 million. The increase in cash used for investing was primarily driven by acquisitions which were $199.3 million, compared to $1.4 million in 2013.

Net cash provided by financing activities was $88.5 million, compared to $13.0 million. The net impact was primarily due to the Bond Refinancing.

Adjusted Free Cash Flow was $84.3 million compared to $9.0 million.

2014 Guidance

EVHC is increasing its 2014 guidance for Adjusted EBITDA to $553-$558 million and Adjusted EPS to $1.15- $1.20. This compares to the previously announced 2014 guidance for Adjusted EBITDA of $538-$545 million and Adjusted EPS of $1.10-$1.15.
