TD Ameritrade Announces Results of Annual Stockholders Meeting

TD Ameritrade Holding Corporation (Nasdaq:AMTD) announced the results of the voting by stockholders at its 2016 annual meeting, held Thursday, Feb. 18, 2016 in Omaha, Neb. At the meeting stockholders approved the following proposals:

• The election of four directors: Bharat Masrani, Irene Miller, Todd Ricketts and Allan Tessler;
• An advisory vote on executive compensation;
• The approval of the amended and restated Long-term Incentive Plan;
• The approval of the amended and restated Management Incentive Plan; and
• Ratification of the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year ending Sept. 30, 2016.
