loanDepot Announces Inducement Grants Under NYSE Rule 303A.08

loanDepot, Inc. (NYSE: LDI) ("loanDepot" or the "Company"), today announced it granted inducement equity awards on September 15, 2025, to its recently hired Chief Digital Officer, Dominck Marchetti, and Chief Innovation Officer, Sean DeJulia, as material inducements to their employment with loanDepot.

The inducement award to Marchetti consists of 2,000,0000 performance stock units (PSUs). The PSUs will vest based on loanDepot’s Class A Common Stock achieving specified prices per share over a three-year performance period beginning on September 15, 2025. The inducement award to DeJulia consists of 750,000 restricted stock units and will vest ratably over three years.

The inducement awards were granted as material inducements to Marchetti's and DeJulia’s employment and were approved by loanDepot’s independent Compensation Committee, in accordance with NYSE Listing Company Manual Rule 303A.08. The employment inducement awards were granted under the Company’s 2022 Inducement Plan.
