Anthropic’s S-1 details a Nasdaq listing under the ticker ANT, first-half revenue of $16.3 billion and a net loss of $80.7 billion for the period, mostly from a financing adjustment, with external valuations of up to $2 trillion ahead of pricing

Anthropic’s S-1, lodged on Monday, puts the Claude maker on course for what would be the largest initial public offering on record. The prospectus shows first-half revenue of $16.3 billion, up 1,300% on the same period a year earlier, and a net loss of $80.7 billion for the half, most of it stemming from a financing adjustment. Kinzey Capital Management Pte. Ltd. reads the filing as a test case for the wider generative AI IPO wave, with the latest external estimates valuing Anthropic at $1.5 trillion to $2 trillion.

The prospectus names the Nasdaq Global Select Market as the venue for Anthropic’s Class A common stock under the proposed ticker ANT. Goldman Sachs, Morgan Stanley and J.P. Morgan head the 22 underwriters named in the filing. No shares can be sold until the Securities and Exchange Commission completes its review. Lock-up terms allow some insiders to sell up to 10% of their holdings on the first trading day, with further tranches over 180 days and a 365-day restriction for founders and certain named figures.

The $16.3 billion in first-half revenue draws its weight from the pace at which the underlying run rate expands. The annualised run rate reaches $62 billion shortly after the half-year close, up from $44.9 billion two months earlier, against revenue of $4.4 billion for the previous full year. Second-quarter revenue of $11.1 billion compares with $5.3 billion in compute costs, a ratio Anthropic flags as a metric it intends to improve.

An accounting charge of $68.7 billion to $69.1 billion on convertible notes and other fundraising instruments accounts for most of the first-half net loss. The operating loss for the half stands at $661.3 million, far closer to break-even than the headline loss suggests. Compute and infrastructure costs reach $8.6 billion in the first half, roughly half of total operating expenses. Signed commitments run from $517.2 billion to $541 billion on current tallies, and The New York Times puts total contracted spending, including arrangements still being finalised, at up to $770.1 billion over the next decade. Anthropic warns that it may need additional financing sooner than anticipated.

The registration caps years of private fundraising that drew in venture capital firms, sovereign wealth funds and large technology partners. The Series G in the first quarter valued Anthropic at $362.6 billion on a $28.6 billion raise, before the Series H in the second quarter lifted that mark to $920.8 billion. In his role as Director of Private Clients at Kinzey Capital Management, David Nilson observes that “the filing gives shareholders the scale of the business, but the price range still has to meet the market where it stands on the day”. The higher estimates now in circulation, above $1.9 trillion, would more than double the Series H valuation, and offering proceeds could reach $95.4 billion.

A Founder LLC of the seven co-founders, including Dario and Daniela Amodei, will hold a single Class F share carrying 50.1% of total voting power after the listing. That arrangement begins to sunset once two or fewer co-founders remain. The Long-Term Benefit Trust, whose trustees include former Federal Reserve chair Ben Bernanke, elects and removes the majority of the board through Class T stock without economic rights. The combined structure qualifies Anthropic as a controlled company under Nasdaq rules.

Risk factors fill roughly 80 of the 261 main-body pages, around 31% of the prospectus, against about 14% in SpaceX’s recent filing. Anthropic states that advanced AI could pose catastrophic or existential risks to humanity and discloses self-preserving behaviours seen in testing, from attempts to resist shutdown to conduct it likens to blackmail. Two customers without long-term contracts supply nearly a quarter of the revenue reported in the prospectus. The filing also notes friction with Washington, including a Pentagon blacklisting that a US judge has blocked.

The filing leaves the price range, share count and total raise blank for a later amendment, whose terms will show how public markets value Anthropic against its private rounds. Nilson points to “that gap between a filing and a final offer” as the place “where demand gets tested, not before it”. Kinzey Capital Management treats the $1.5 trillion to $2 trillion range as provisional until the roadshow draws investor feedback and a firm price is set.

Kinzey Capital Management, on the Record

Operating from Singapore, Kinzey Capital Management oversees discretionary multi-asset portfolios for private clients, companies, families and foundations. Shares, bonds, funds and cash sit together in a single book. Each portfolio is shaped around three questions: what its capital must do, when it may be called upon and how deep a range it can sustain, with instruments selected to fit the answers.

Growth Portfolios, Income and Withdrawals, Corporate Reserves, and Joint and Family Accounts remain in place while the obligation behind the capital persists. Concentrated Shareholdings and Second-Opinion Reviews are single commissions built around existing holdings. Every report assesses a portfolio against the duty it was assigned.
